1. Agreement to Terms
By accessing or using the services of SA Precast Concrete ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.
2. Services
SA Precast Concrete provides precast concrete and tilt-up warehouse construction services, including but not limited to:
- •Design and engineering services
- •Precast panel production
- •Tilt-up panel installation
- •On-site installation
- •Supply and install packages
3. Quotations and Proposals
3.1 Validity
All quotations and proposals are valid for 30 days from the date of issue unless otherwise stated. Prices are subject to change without notice after this period.
3.2 Acceptance
A quotation becomes a contract once accepted in writing by the client and a deposit is received. Acceptance may be by signed written acceptance or by conduct (e.g., authorizing commencement of work).
3.3 Variations
Any variations to the agreed scope of work must be documented and approved in writing. Additional charges will apply for variations requested after commencement.
4. Payment Terms
4.1 Deposits
A deposit is required to secure project scheduling. The deposit amount will be specified in the quotation and is typically 30% of the total contract value.
4.2 Progress Payments
Progress payments will be invoiced as the project schedule specifies in the contract. Standard terms are typically 30% deposit, 40% at delivery, 30% on completion.
4.3 Late Payment
Overdue accounts will incur your interest at the rate of 2% per month (or the maximum rate permitted by law). We reserve the right to suspend work for non-payment.
5. Project Timeline
We will use reasonable efforts to meet estimated completion dates. However, timelines are subject to:
- •Weather conditions
- •Tool readiness and access
- •Council approvals and permits
- •Material availability
- •Client-requested changes
6. Client Responsibilities
The client is responsible for:
- •Providing accurate project information and site plans
- •Obtaining all necessary permits and approvals
- •Ensuring necessary permits and approvals (unless otherwise agreed)
- •Coordinating with other contractors on site
- •Timely review and approval of shop drawings
- •Making payments according to the agreed schedule
7. Warranties and Defects
7.1 Workmanship Warranty
We warrant that all work will be performed in a professional and workmanlike manner in accordance with Australian Standards and industry best practices. No express warranty is implied, other than those legally implied ("12-month").
7.2 Material Warranties
Materials are warranted according to manufacturer specifications. We will pass on relevant manufacturer warranties to the client.
7.3 Exclusions
Warranties do not cover damages caused by: misuse, neglect, normal wear and tear, or modifications made by others.
8. Limitation of Liability
To the maximum extent permitted by law:
- •Our total liability is limited to the contract value
- •We are not liable for indirect or consequential damages
- •We are not liable for delays beyond our reasonable control
- •Claims must be made within [specify period] of discovery
Nothing in these terms seeks to limit liability that cannot be excluded under Australian Consumer Law.
9. Insurance
We maintain appropriate insurance coverage including public liability and workers' compensation insurance. Certificates of currency are available upon request.
10. Health, Safety & Environment
We are committed to maintaining a safe work environment. All work will be conducted in accordance with relevant WHS legislation. Please refer to our WHS Policy for details on our safety practices and your site hazards.
11. Intellectual Property
All designs, drawings, and documentation prepared by us remain our intellectual property. Clients are granted a license to use these materials for the specified project only.
12. Termination
12.1 Termination for Convenience
Either party may terminate the contract by giving 14 days written notice. The client will pay for all work completed and reasonable costs incurred up to the termination date.
12.2 Termination for Cause
We may terminate immediately if the client fails to make payment or breaches these terms. The client may terminate if we materially breach the contract and fail to remedy within 14 days of written notice.
13. Dispute Resolution
If a dispute arises that cannot be resolved through negotiations, it remedies may be referred to mediation before pursuing parties involving legal action. These terms are governed by the laws of South Australia.
14. Privacy and Confidentiality
We will handle all client information in accordance with our Privacy Policy and will Australian Privacy Principles. We will keep confidential any information marked as confidential, but may use project details for our marketing with your consent.
15. General Provisions
15.1 Entire Agreement
These terms, together with the accepted quotation, constitute the entire agreement between the parties.
15.2 Amendments
These terms may only be varied in writing and signed by both parties.
15.3 Severability
If any provision is found invalid, the remaining provisions remain in effect.
